Terms of Service

The agreement between you and Zillion AI LLC for using CodeDAG, covering the beta, credits and subscriptions, your content, and governing law.

Provided by
Zillion AI LLC
Effective

These Terms of Service ("Terms") are an agreement between you and Zillion AI LLC, a Wyoming limited liability company ("Zillion AI", "we", "us"). They govern your use of CodeDAG: the command-line tool (the "CLI"), the web console at app.codedag.com, the website at codedag.com and the documentation (together, the "Service"). By creating an account or using the Service, you agree to these Terms. Our Privacy Policy and Refund Policy are part of these Terms.

The Service

CodeDAG runs workflows of development tasks on your computer. Each task is carried out by Claude Code or Codex, which you install and sign in to yourself, and the branches, merges and results stay in your local repository. Our servers handle sign-in, your account, subscriptions, and counting and deducting credits.

The Service doesn't include access to any AI model. You need your own Claude Code or Codex account, and your usage of them is billed by their providers under their own terms.

Beta

CodeDAG is in beta. While it is in beta, including any period when access is by invitation only, features, limits and the way the Service works may change, and the Service may be interrupted, limited or discontinued. We'll try to announce significant changes in advance in the documentation or by email. During the beta the Service is provided as is, as set out under Disclaimers.

Eligibility and accounts

You must be at least 18 years old, or the age of majority where you live if that is higher. If you use the Service on behalf of an organization, you confirm that you're authorized to accept these Terms for it.

You sign in with a Google account, and your CodeDAG account is created the first time you sign in. Keep your sign-in credentials secure: you're responsible for activity under your account. If you believe someone else is using your account, tell us promptly (see Contact).

Credits

Running workflows uses CodeDAG credits. Only workflows submitted with cdg dag submit are charged: each task in a workflow costs 1 credit, deducted when the workflow starts running. Submitting a workflow and waiting in the queue cost nothing, and a workflow cancelled before it starts costs nothing. Once a workflow has started, its credits aren't returned automatically, whatever happens to its tasks. The exceptions are set out in the Refund Policy.

Credits have no cash value, can't be exchanged for money and can't be transferred between accounts.

Free credits

A new account receives 800 free credits, once per account. They're valid for 30 days from sign-up and need no payment card. Free credits give you the same features as a subscription. When they run out or expire, you need a subscription to keep submitting workflows. Because no card is involved, free credits never turn into a paid subscription, and nothing is charged when they end. If you subscribe while you still have free credits, the remainder carries into your first paid period.

We may change or end the free-credit offer for accounts created in the future. Changes don't affect credits already granted.

Subscriptions and payment

CodeDAG has one plan, and every user gets the same features.

  • Price: $12 per month, or $96 per year, which works out to $8 a month, 33% less than paying monthly.
  • Credits: 800 credits each month, reset at the start of each monthly credit period. Unused credits don't roll over. A yearly subscription also grants credits month by month, not a year's worth at once.
  • Third-party costs: A subscription doesn't cover third-party AI model costs.
  • Billing: Payments are processed by Stripe. A subscription is billed in advance and renews automatically at the end of each billing period until you cancel. Applicable taxes are determined at checkout.
  • Running out: If you use up a month's credits, wait for the next monthly credit period, or sign up for another account. A new account has its own credits and its own subscription, and they aren't combined with your existing account. Credit top-up packs aren't available for now.
  • Failed payments: If a renewal payment fails, your subscription is unavailable until the payment goes through.
  • Price changes: If we change the price, we'll tell you at least 30 days before the new price applies to your next renewal. If you don't agree, you can cancel before then.

Cancellation and refunds

You can cancel your subscription at any time from the Billing page of the web console. Cancellation takes effect at the end of the current billing period: until then your subscription stays active and your credits remain usable, and nothing is charged afterwards.

Payments are generally non-refundable. The only exceptions are duplicate charges, billing errors and refunds required by law. How cancellation and refunds work, and how to ask for a refund, is set out in the Refund Policy.

Your content

You keep all rights to your code, your workflow files and prompts, and the output your agents produce ("Your Content"). We don't claim ownership of any of it.

Your code, run logs and agent sessions stay on your computer. To count and deduct credits, the CLI sends us each workflow file you submit, including its prompts, when you submit it and when it starts. We discard the file's contents after counting and keep only a checksum, as described in the Privacy Policy. You allow us to process this data only as needed to provide the Service. Don't put passwords, keys or other secrets in workflow files; keep them in local files instead.

AI agents and their output

Claude Code and Codex run on your computer under your own accounts and their providers' terms. You're responsible for complying with those terms, for the permission modes you choose, and for what the agents do on your computer and in your repository.

Agent output can contain errors, security flaws or code similar to other people's. Review and test it before you rely on it. Whether and how results are merged into your main branch is your decision.

Acceptable use

You agree not to:

  • use the Service in violation of any law or of anyone else's rights;
  • get around credit checks, usage limits or other technical protections of the Service;
  • access other users' accounts or data, or our systems, without authorization;
  • interfere with or overload our servers, or test them for vulnerabilities without our written permission;
  • copy, modify, decompile or reverse engineer the CLI, except as the law allows;
  • rent, resell or sublicense access to the Service.

Intellectual property

The Service, including the CLI, the website, the documentation and the CodeDAG name and logo, belongs to Zillion AI or its licensors. As long as you have an account and follow these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the CLI to use the Service. These Terms don't give you any other rights to our software or trademarks.

If you send us feedback or suggestions, we may use them without any obligation to you.

Third-party services

The Service works with services we don't control, including Google sign-in, Stripe, Claude Code, Codex and GitHub. Your use of them is governed by their own terms and privacy policies, and we aren't responsible for them.

Suspension and termination

You can stop using the Service at any time. To have your account deleted, see Your rights in the Privacy Policy.

We may suspend or close your account if you breach these Terms, if your use puts the Service or other users at risk, or if the law requires it. Where reasonable, we'll tell you first. If we decide to discontinue the Service, we'll announce it in advance.

Provisions that by their nature should continue after your account ends, such as ownership, disclaimers, limitation of liability and governing law, continue to apply.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AGENT OUTPUT WILL BE CORRECT OR SECURE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZILLION AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions don't allow these exclusions or limits. Where they don't, they apply only to the extent the law permits.

Indemnification

You agree to indemnify and hold harmless Zillion AI and its members, employees and agents from claims, losses and costs, including reasonable attorneys' fees, arising from your use of the Service, Your Content, or your breach of these Terms or of anyone else's rights.

Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any dispute arising from or related to these Terms or the Service will be resolved exclusively by the state courts located in Sheridan County, Wyoming, or the United States District Court for the District of Wyoming, and you and we consent to their jurisdiction. This doesn't affect any mandatory consumer protection rights you have under the laws of the place where you live.

Changes to these Terms

We may update these Terms. We'll post the new version on this page with a new effective date. If a change materially affects your rights, we'll also tell you by email or in the web console before it takes effect. If you keep using the Service after the change takes effect, you accept the updated Terms. If you don't agree, stop using the Service and cancel your subscription.

General

These Terms, together with the Privacy Policy and the Refund Policy, are the entire agreement between you and us about the Service. If any part of them is found unenforceable, the rest stays in effect. Not enforcing a provision isn't a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of our business.
